Terms of Service

Welcome to Miseru! These Terms of Service ("Terms") describe your rights and responsibilities when using Miseru and all associated features, content, and services (the "Service"). Please read them carefully. By creating an account, accessing, or using any part of the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, you must not use the Service.

1. The Service

Miseru ("we," "us") is a software-as-a-service platform that assists you ("Customer," "you") in generating interactive product demonstrations and guides ("Generated Content").

To produce the Generated Content, the Service requires you to install a designated script or integrate via our provided API into your web application ("Customer Application"). Upon activation, the Service programmatically analyzes the structural and visual data of your Customer Application's user interface. Based on this analysis and subsequent inputs, our proprietary AI models generate the interactive tours. The Service is provided exclusively for your internal business purposes and for providing guidance to your authorized end-users.

2. Account Registration and Security

2.1. Account Creation

To access and use the Service, you must register for an account and provide information that is accurate, current, and complete. You agree to keep this information up-to-date. The Service is not intended for, and may not be used by, anyone under the age of 18.

2.2. Customer Responsibilities

You are responsible for all activities that occur under your account, including the actions of any individuals you authorize to access the Service ("Authorized Users"). You are responsible for ensuring your Authorized Users comply with this Agreement.

2.3. Credential Security

You are solely responsible for maintaining the confidentiality of all account credentials, including passwords and API keys. You must implement reasonable security measures to protect your account. You agree to notify us immediately at hi@miseru.ai of any suspected or actual unauthorized use of your account or any other breach of security. Miseru cannot and will not be liable for any loss or damage arising from your failure to comply with this security obligation.

3. Customer Data and Ownership

3.1. Ownership of Customer Data

As between the parties, you retain all right, title, and interest in and to the content, data, and information from your Customer Application, including the structural and visual elements analyzed by the Service ("Customer Data").

3.2. Our License to Use Customer Data

You grant Miseru a limited, non-exclusive, worldwide, royalty-free license to use, copy, modify, and display the Customer Data solely to the extent necessary to provide, maintain, and improve the Service in accordance with this Agreement.

3.3. Prohibited Data

You must not upload or transmit to the Service any personally identifiable information (such as social security numbers, credit card information, passwords, or access keys) or any confidential, sensitive, or regulated data unless expressly agreed in a separate data processing agreement. You represent and warrant that you have all necessary rights to provide Customer Data to the Service.

3.4. Ownership of Generated Content

We hereby assign to you all right, title, and interest in and to the Generated Content. You are free to use the Generated Content for your business purposes. Notwithstanding the foregoing, Miseru retains all rights, title, and interest in and to the Service, including all underlying AI models, algorithms, and software.

3.5. Service Improvement

We may collect and analyze usage data and other information related to the provision, use, and performance of the Service. We may use such data to improve and enhance the Service, and for other development, diagnostic, and corrective purposes. Any such data used for these purposes will be in an aggregated and de-identified form that does not identify you or any individual.

4. AI-Generated Content Disclaimer

The Service uses artificial intelligence to automatically generate product tours. You acknowledge and agree that:

AI-generated tours may not always be accurate, complete, or suitable for your specific needs
You should review and verify all Generated Content before relying on it or making it available to end-users
We do not guarantee that Generated Content will be error-free, meet your specific requirements, or achieve any particular result
You are solely responsible for reviewing, approving, and deploying tours to your end-users

5. Acceptable Use Policy

You agree not to use the Service to:

Violate any applicable laws or regulations
Infringe upon intellectual property rights of others
Analyze or generate content from applications you do not own or have explicit permission to use
Transmit harmful code, viruses, or malware
Attempt to gain unauthorized access to the Service or related systems through hacking, password mining, or any other means
Reverse engineer, decompile, or disassemble any portion of the Service
Use the Service to develop competing products or services
Scrape, crawl, or spider the Service except through our authorized API
Interfere with or disrupt the Service or servers connected to the Service
Use the Service to process applications containing illegal, harmful, or abusive content
Share account credentials or allow unauthorized access to your account

6. Intellectual Property

The Service, including all software, algorithms, features, and functionality, is owned by Miseru and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service in accordance with these Terms.

7. Fees and Payment

Certain features of the Service require payment of fees. You agree to pay all applicable fees as described on our pricing page or in your subscription agreement. All fees are non-refundable except where required by law or as expressly stated in your subscription agreement.

You must provide accurate and complete billing information and authorize us to charge your payment method for all fees incurred. We reserve the right to change our fees upon 30 days' notice. Your continued use of the Service after such notice constitutes acceptance of the new fees.

8. Subscriptions and Renewals

Subscriptions automatically renew at the end of each billing period unless you cancel your subscription before the renewal date. You may cancel your subscription at any time through your account settings or by contacting us at hi@miseru.ai.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

9. Confidentiality

Each party agrees to protect the other party's confidential information and use it only for purposes of performing under these Terms. This obligation survives for five years after termination of these Terms.

10. Feedback

If you provide us with any feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without any obligation to you, including compensation.

11. Third-Party Services and Links

The Service may integrate with or contain links to third-party services and websites. We are not responsible for the content, privacy practices, or terms of service of any third-party services. Your use of third-party services is at your own risk.

12. Privacy and Data Processing

Our collection and use of personal information in connection with the Service is described in our Privacy Policy. If we process personal data on your behalf, such processing will be governed by our Data Processing Addendum, which is incorporated by reference into this Agreement.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components. The Generated Content is provided without any warranty as to accuracy, completeness, or fitness for any particular purpose. You use the Service at your own risk.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MISERU SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO MISERU IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) $100.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

15. Indemnification

You agree to indemnify, defend, and hold harmless Miseru and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

Your use of the Service
Your Customer Data or Generated Content
Your violation of these Terms
Your violation of any rights of another party

16. Term and Termination

These Terms remain in effect until terminated by either party. You may terminate these Terms at any time by closing your account and ceasing all use of the Service.

We may suspend or terminate your access to the Service immediately if you violate these Terms or for any other reason with 30 days' notice for non-violation terminations.

Upon termination, your right to use the Service immediately ceases. We will make commercially reasonable efforts to make your Customer Data available for download for 30 days following termination, after which we will delete all Customer Data and Generated Content from our active systems within ninety (90) days, unless we are required to retain such data by law.

Sections related to ownership, confidentiality, disclaimers, limitations of liability, indemnification, and dispute resolution survive termination.

17. Changes to Terms

We may modify these Terms at any time by posting the updated Terms on our website. We will provide notice of material changes via email or through the Service. Your continued use of the Service after such notice constitutes acceptance of the modified Terms.

18. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Any disputes arising out of or related to these Terms or the Service shall be resolved through good faith negotiations. If negotiations fail, disputes shall be subject to the exclusive jurisdiction of the courts located in India.

19. General Provisions

Entire Agreement: These Terms constitute the entire agreement between you and Miseru regarding the Service and supersede all prior agreements and understandings.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

No Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.

Force Majeure: We shall not be liable for any failure to perform due to circumstances beyond our reasonable control.
